AnestCopilot Terms of Service

1\. Introduction and Acceptance of Terms

Welcome to AnestCopilot, an innovative Artificial Intelligence (AI) platform developed to assist anesthesiology professionals. These Terms of Service (“Terms”) establish the rules and conditions governing the use of the products and services offered by AnestCopilot LTD (“we,” “us,” “our,” or “AnestCopilot”).

By accessing or using our services, you (“user” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is an integral part of this document. If you do not agree with any part of these Terms, we request that you do not access or use AnestCopilot’s services.

It is important to note that these Terms have been carefully drafted in accordance with current Brazilian legislation, including, but not limited to:

  • General Data Protection Law (LGPD) – Law No. 13,709/2018
  • Brazilian Civil Rights Framework for the Internet – Law No. 12,965/2014
  • Consumer Defense Code – Law No. 8,078/1990
  • Brazilian Civil Code – Law No. 10,406/2002

2\. Detailed Description of Services

AnestCopilot is an Artificial Intelligence (AI) platform meticulously designed to assist anesthesiologists in their daily clinical practice. Our mission is to provide advanced tools that enhance clinical decision-making, facilitate access to updated information, and contribute to the safety and efficacy of anesthetic procedures.

AnestCopilot does not provide medical diagnosis, therapeutic prescription, or definitive clinical decisions, and it does not replace the judgment, experience, or responsibility of the physician or other healthcare professional. The user acknowledges that AI technology may have limitations, biases, errors, or divergent responses due to the probabilistic nature of its models and constant scientific advancement.

Our services include the following specialized tools:

2.1. PubMed Search

This tool performs personalized and efficient searches on PubMed, one of the world's most respected biomedical literature databases.

Functionalities:

  • Advanced search with customizable filters
  • Results organized by relevance or publication date
  • Quick access to article abstracts
  • Option to export search results

2.2. PubMed Review

This tool provides a quick and focused literature review, analyzing the most recent and relevant PubMed articles on a specific topic.

Functionalities:

  • Automatic analysis of the 10 most relevant articles on the searched topic
  • Synthesis of key conclusions and findings
  • Identification of trends and consensus in the literature

2.3. My Article

This tool allows for in-depth interaction with the content of a scientific article chosen by the user.

Functionalities:

  • Upload of PDF articles (15-page limit)
  • Analysis and extraction of key information from the article
  • Question-and-answer interface about the article's content

2.4. Interactions

This tool checks for potential interactions between medications, with a special focus on anesthetic drugs.

Functionalities:

  • Verification of interactions between multiple drugs
  • Specific panel for anesthetic drugs
  • Alerts for potentially dangerous interactions

2.5. Pharmacology

This tool provides detailed information on the pharmacological properties of specific drugs used in anesthesiology.

Functionalities:

  • Information on mechanism of action, pharmacokinetics, and pharmacodynamics
  • Data on dosage, adverse effects, and contraindications
  • Comparisons between similar drugs

2.6. Medication Hold

This tool offers guidance on the preoperative management of relevant medications, assisting in the decision to hold or continue medications before surgical procedures.

Functionalities:

  • Recommendations based on updated guidelines
  • Specific considerations for different types of surgeries and medical conditions
  • Alerts about potential risks of holding or continuing medications

2.7. Gaso-AI

This tool analyzes arterial blood gases, providing a detailed and accurate interpretation of the results.

Functionalities:

  • Image upload of blood gas results
  • Automatic analysis of parameters such as pH, PaO2, PaCO2, bicarbonate, among others
  • Contextualized interpretation of the results

2.8. Assistant

This tool is an advanced AI agent that answers general questions about anesthesiology, offering comprehensive support to the anesthesiologist's knowledge base.

Functionalities:

  • Natural language question-and-answer interface
  • Access to a broad knowledge base in anesthesiology
  • Ability to provide detailed explanations and references

For all functionalities, including updates, it is essential to understand and accept that:

a) The AnestCopilot platform is powered by a knowledge base curated by anesthesiology experts, aiming to mitigate the risks of inaccuracies or outdated information as much as possible.

b) Despite our efforts to provide accurate and up-to-date information, AnestCopilot does not, under any circumstances, replace the professional judgment of the anesthesiologist. All clinical decisions are the sole responsibility of the healthcare professional.

c) The user acknowledges that, like any technological tool, AnestCopilot may contain errors or inaccuracies. Therefore, the user commits to using their professional judgment in all clinical decisions, not relying exclusively on the information provided by the platform.

d) AnestCopilot is a clinical decision support tool and should not be considered a substitute for medical training, clinical experience, or the guidelines and protocols established by competent health authorities and medical societies.

(e) The user acknowledges that the Artificial Intelligence algorithms used by AnestCopilot may present inaccuracies, incomplete or outdated results, and responses that depend on the quality and context of the input data.

(f) No information provided by the platform should be interpreted as a medical diagnosis or treatment prescription.

(g) The user is solely responsible for validating all information and clinical decisions derived, assuming that AnestCopilot is only a support tool and does not replace medical guidelines, institutional protocols, or the deliberation of healthcare professionals.

(h) AnestCopilot is not intended for, nor should it be used in, urgent or emergency medical situations, critical patient monitoring, or any context where delays or interpretation errors could result in direct harm to the patient.

3\. Conditions of Access and Use of Services

3.1. Account Creation and Maintenance

Access to AnestCopilot services is granted through the creation of a personal and non-transferable account. By creating an account, you agree to:

a) Provide true, accurate, current, and complete information about yourself.

b) Maintain and promptly update your registration data to keep it true, accurate, current, and complete.

c) Be solely responsible for the confidentiality and use of your password and username.

d) Immediately notify AnestCopilot of any unauthorized use of your account or any other breach of security.

e) Be fully responsible for all activities that occur under your account.

3.2. Appropriate Use of Services

By using AnestCopilot services, you agree to:

a) Use the services only for lawful purposes and in accordance with these Terms.

b) Not use the services in a manner that could damage, disable, overburden, or impair AnestCopilot's servers or networks.

c) Not attempt to gain unauthorized access to any part of the services, other systems, or networks connected to AnestCopilot services.

d) Not use the services to generate, store, or transmit illegal, defamatory, fraudulent material, or material that violates the privacy of third parties.

e) Not reverse engineer, decompile, or disassemble any part of the services.

f) Use your professional judgment in all clinical decisions, recognizing that AnestCopilot is a support tool and not a substitute for specialized medical knowledge.

3.3. Restrictions and Limitations of Use

AnestCopilot reserves the right to:

a) Modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

b) Limit the use of or access to the service, remove or edit content at its sole discretion.

c) Monitor the use of the services to ensure compliance with these Terms and applicable laws.

3.4. Subscriptions and Trial Periods

The use of the services may be subject to limitations, which may include:

a) Restrictions based on different levels of paid subscriptions.

b) Free trial periods with limited or full functionalities.

c) Limitations on the number of queries or access to certain tools.

The specific details of each subscription plan or trial period will be clearly communicated at the time of purchase or the start of the trial.

3.5. Payment Conditions:

Specifically for Paid Plan subscriptions, in addition to all other conditions of these Terms of Service, the following conditions apply:

a) Payment Method: Payments are processed monthly, according to the payment method chosen by the user at the time of subscription, which may include credit card, debit card, or other options made available by the platform.

b) Billing Cycle: Billing occurs at the beginning of each monthly cycle, corresponding to the date of enrollment in the paid plan.

c) Automatic Renewal: Paid Plan subscriptions are automatically renewed at the end of each monthly cycle, unless previously canceled by the user.

3.5.1. Interruption for Non-Payment:

In addition to the termination scenarios provided in clause 9, Paid Subscriptions may also be interrupted in the following case:

a) Non-Payment: In the event of non-payment on the established date, the user will be notified to regularize the situation. If payment is not made within the period informed in the notification, access to the features of the Paid Plans may be suspended until payment is regularized.

b) Reactivation: After the payment is regularized, access to the features will be restored according to the contracted plan.

4\. Intellectual Property Rights

4.1. Ownership of Content

All content made available by AnestCopilot, whether in free or paid versions, including but not limited to texts, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the exclusive property of AnestCopilot or its content suppliers and is protected by Brazilian and international copyright laws.

The user grants AnestCopilot a free, non-exclusive, irrevocable, worldwide, transferable, and perpetual license to use, reproduce, store, analyze, and process the User Content in an anonymized or aggregated form, exclusively for the purposes of (i) performing and improving the services; (ii) training and evaluating AI models; and (iii) complying with legal and regulatory obligations.

4.2. Use Restrictions

The user is not authorized to:

a) Modify, reproduce, distribute, transmit, display, publish, sell, license, or create derivative works from any content, software, products, or services obtained from or through AnestCopilot, unless expressly authorized in writing by AnestCopilot.

b) Use any automated process to extract or collect data or content from AnestCopilot.

c) Use the services or content of AnestCopilot for commercial purposes without prior written authorization.

(d) perform or permit scraping, data mining, or reverse engineering on the platform or its AI models;

(e) use the AI-generated responses for competing commercial purposes, training of other AI models, or development of substitute products.

4.3. Limited License

AnestCopilot grants the user a limited, non-exclusive, non-transferable, and revocable license to access and use the services in accordance with these Terms, exclusively for professional purposes related to the practice of anesthesiology.

4.4. Feedback and Suggestions

Any feedback, comments, or suggestions provided by the user regarding AnestCopilot's services will be considered non-confidential, and AnestCopilot shall have the right to use such information without any obligation to the user.

5\. User Responsibilities

5.1. Ethical and Legal Use

The user agrees to use AnestCopilot's services ethically and in compliance with all applicable laws and regulations, including, but not limited to:

a) Data protection and privacy legislation.

b) Medical and health regulations.

c) Ethical standards of the medical profession.

5.2. Accuracy of Information

The user is responsible for ensuring the accuracy and truthfulness of all information provided when using AnestCopilot's services. This includes, but is not limited to:

a) Registration and profile information.

b) Data entered into search and analysis tools.

c) Information shared in forums or discussion areas, if available.

5.3. Account Security

The user is responsible for maintaining the security of their account, including:

a) Protecting their login credentials.

b) Not sharing their account with third parties.

c) Logging out of the account after each session, especially on shared devices.

d) Immediately notifying AnestCopilot of any suspected unauthorized access.

5.4. Professional Use and Clinical Judgment

The user acknowledges and agrees that:

a) AnestCopilot is a clinical decision support tool and does not replace the professional judgment of the anesthesiologist.

b) All clinical decisions made with the assistance of AnestCopilot are the sole responsibility of the healthcare professional.

c) It is the user's duty to verify and validate all information provided by AnestCopilot before applying it in clinical practice.

d) The use of AnestCopilot does not exempt the healthcare professional from their ethical and legal obligations to patients and healthcare institutions.

5.5. Non-Disclosure of Confidential Information

The user agrees not to enter or share through AnestCopilot:

a) Personally identifiable information of patients.

b) Confidential data from healthcare institutions.

c) Copyrighted information without proper authorization.

5.6. Updates and Continuing Education

The user acknowledges that:

a) Medicine, especially anesthesiology, is a constantly evolving field.

b) It is the user's responsibility to stay updated with the latest guidelines and recommended practices in anesthesiology.

c) AnestCopilot should be used as a supplement to, and not a substitute for, continuing medical education.

5.7. Feedback and Error Reporting

The user is encouraged to:

a) Provide feedback on the accuracy and usefulness of the information provided by AnestCopilot.

b) Immediately report any errors, inconsistencies, or problems encountered while using the service.

c) Suggest improvements or new features that could benefit the user community.

6\. Limitations of Liability of AnestCopilot

6.1. Provision of Service

AnestCopilot provides its services “as is” and “as available,” without warranties of any kind, express or implied. Specifically:

a) We do not guarantee that the services will be uninterrupted, timely, secure, or error-free.

b) We do not guarantee that the results that may be obtained from the use of the services will be accurate or reliable.

c) The quality of any product, service, information, or other material purchased or obtained through AnestCopilot will meet your expectations.

6.2. Accuracy of Information

Although AnestCopilot strives to provide accurate and up-to-date information:

a) We do not guarantee the accuracy, completeness, or timeliness of the information provided through our services.

b) Medical and pharmacological information can change rapidly, and some information may be outdated.

c) It is the user's responsibility to verify any information obtained through AnestCopilot and assess its relevance to any specific situation.

6.3. Use of Information

AnestCopilot is not responsible for:

a) Medical decisions made based on the information provided by the platform.

b) Any direct, indirect, incidental, consequential, or punitive damages resulting from the use or inability to use the services.

c) Loss of data, lost profits, or business interruption arising from the use of the service.

6.4. Limitation of Financial Liability

AnestCopilot's total liability, if any, for any claims arising from these Terms will be limited to the amount paid by the user for the services in the 12 months prior to the event giving rise to the claim.

6.5. Indemnification

The user agrees to indemnify and hold harmless AnestCopilot, its directors, employees, and agents from any claim, demand, loss, liability, and expenses (including attorneys' fees) arising out of or related to the use of the services, violation of these Terms, or violation of the rights of third parties.

6.6. Force Majeure

AnestCopilot will not be liable for any failure or delay in performing its obligations resulting from causes beyond its reasonable control, including, but not limited to, acts of God, natural disasters, pandemics, government actions, wars, terrorism, civil disturbances, fires, explosions, or mechanical failures.

6.7. Disclaimer of Liability for Diagnosis or Telemedicine

AnestCopilot does not provide telemedicine, diagnosis, prescription, or clinical monitoring services, being only a decision support tool. The user is fully responsible for evaluating the applicability of the information provided by the platform, according to medical protocols, institutional guidelines, and professional judgment.

6.8. Additional Limitation of Liability

(a) To the maximum extent permitted by applicable law, AnestCopilot and its partners, directors, employees, and associates shall not be liable for indirect, special, incidental, consequential, exemplary, or punitive damages, including, without limitation, loss of profits, loss of revenue, business interruption, or loss of data, even if previously advised of the possibility of such damages.

(b) No provision of these Terms limits or excludes AnestCopilot's liability for willful misconduct, proven fraud, or any other liability that cannot be limited or excluded by law.

6.9. Inherent Risk of Using AI

(a) The user acknowledges that AI technology may have limitations, biases, errors, or divergent responses due to the probabilistic nature of its models and constant scientific advancement.

(b) AnestCopilot does not guarantee the accuracy, completeness, or suitability of any information obtained through its tools for specific clinical purposes.

(c) The user assumes all risk regarding the use or non-use of the information provided by the platform and agrees that no clinical decision or therapeutic action should be taken exclusively based on the results presented.

7\. Information Security and Data Protection

7.1. Commitment to Security

AnestCopilot implements technical and organizational security measures to protect users' personal data and confidential information, in compliance with the LGPD and other applicable laws. These measures include, but are not limited to:

a) Encryption of data in transit and at rest.

b) Strict access controls and multi-factor authentication.

c) Continuous security monitoring and threat detection.

d) Regular security training for employees.

7.2. User Responsibility

The user is responsible for:

a) Maintaining the confidentiality of their access credentials.

b) Ensuring that all activities that occur under their account are authorized.

c) Immediately notifying AnestCopilot of any suspected security breach.

7.3. No Storage of Patient Data

AnestCopilot does not store individual patient data. The user is responsible for ensuring that no personally identifiable information of patients is entered into the system.

7.4. Processing of Personal Data

The processing of users' personal data by AnestCopilot is governed by our Privacy Policy, which is an integral part of these Terms. We recommend carefully reading the Privacy Policy to understand how we collect, use, and protect your personal data.

7.5. Rights of the Data Subject

In accordance with the LGPD, the user has specific rights regarding their personal data, including the right to access, rectify, delete, and port the data. To exercise these rights or for any privacy-related questions, please contact our Data Protection Officer at \[contato@anestcopilot.com.br\].

7.6. International Compliance and HIPAA

(a) AnestCopilot is not intended to collect, process, or store Protected Health Information (PHI) as defined by the laws of the United States of America, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA).

(b) The use of AnestCopilot in U.S. territory or by users subject to HIPAA must occur exclusively in a manner that no PHI is entered, transmitted, or processed by the platform, unless previously authorized in writing by AnestCopilot and upon the execution of a Business Associate Agreement (BAA) or equivalent instrument that ensures compliance with applicable legal requirements.

(c) The user is solely responsible for ensuring that they do not share, enter, or process PHI or any patient medical data in violation of HIPAA, LGPD, GDPR, or other applicable privacy and health regulations.

(d) AnestCopilot may, at its discretion, suspend or terminate the access of users or organizations that use the platform in non-compliance with this clause, without prejudice to other applicable measures.

8\. Modifications to the Terms

8.1. Updates to the Terms

AnestCopilot reserves the right to modify these Terms at any time. The modifications will take effect immediately upon the publication of the updated Terms on the AnestCopilot website.

8.2. Notification of Changes

We will make reasonable efforts to notify users of significant changes to these Terms, which may include:

a) Sending an email to the address associated with your account.

b) Posting a prominent notice on our website or application.

c) Notification through the user interface the next time you access the service.

8.3. Continued Acceptance

Your continued use of the services after the publication of the modifications constitutes acceptance of the new Terms. If you do not agree with the modified Terms, you must stop using the services.

9\. Termination

9.1. Termination by the User

The user can terminate their account at any time by contacting AnestCopilot support. Upon termination, the user will lose access to the services.

9.2. Termination by AnestCopilot

AnestCopilot may, at its sole discretion, suspend or terminate the user's access to the services for violation of these Terms or for any other reason, with or without prior notice.

9.3. Effects of Termination

Upon termination:

a) The user will lose access to the services and any stored data that has not been explicitly preserved or exported.

b) AnestCopilot may delete any data associated with the user's account.

c) Certain provisions of these Terms will survive termination, including, but not limited to, provisions related to intellectual property, limitations of liability, and dispute resolution.

d) In the case of termination of paid subscriptions, billing cycles will be terminated.

10\. General Provisions

10.1. Entire Agreement

These Terms, together with the Privacy Policy and any applicable additional terms, constitute the entire agreement between the user and AnestCopilot regarding the services.

10.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely approximates the original intent.

10.3. Waiver

The failure of AnestCopilot to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

10.4. Assignment

The user may not assign or transfer these Terms, in whole or in part, without the prior written consent of AnestCopilot. AnestCopilot may assign these Terms freely, without restriction.

10.5. Force Majeure

Neither party will be liable for failures or delays in the performance of its obligations when caused by circumstances beyond its reasonable control.

11\. Applicable Law and Venue

11.1. Applicable Law

These Terms are governed and interpreted in accordance with the laws of the Federative Republic of Brazil.

11.2. Dispute Resolution

Any dispute arising from or related to these Terms will initially be submitted to mediation. If mediation does not resolve the dispute, it will be submitted to arbitration according to the rules of \[insert chosen arbitration chamber\].

11.3. Venue

Without prejudice to the arbitration clause, for any legal measures expressly permitted by law, the venue of the Judicial District of Belo Horizonte, State of Minas Gerais, is chosen, with the exclusion of any other, however privileged it may be.
